Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, data products, and consulting services operated by Health Data Insights, LLC ("HDI," "we," "us," or "our"). By creating an account or using any HDI service you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

1. Services

HDI provides two categories of service:

Formulary Scanner — data subscriptions

Formulary Scanner is a structured dataset of 30,000+ U.S. health-insurance drug formularies (commercial, Medicare Part D, Medicaid, and ACA exchange plans), normalized into a single schema and delivered directly into your Databricks, Snowflake, or AWS environment. Subscription tiers, pricing, and included data views are described on the Formulary Scanner product page.

Consulting services

HDI offers advisory and consulting engagements in risk & actuarial, quality measures, and healthcare data architecture. Consulting engagements are governed by a separate Statement of Work ("SOW") signed by both parties. In any conflict between a SOW and these Terms, the SOW controls for that engagement.

2. Accounts

To access Formulary Scanner you must create an account with a valid email address and password. You are responsible for:

  • Keeping your credentials confidential. Do not share your password.
  • All activity that occurs under your account.
  • Notifying us immediately at info@health-data-insights.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, are associated with fraudulent activity, or remain inactive for more than 24 consecutive months.

3. Subscriptions and billing

Plans and pricing

Formulary Scanner is offered on monthly recurring subscription plans. Current pricing is displayed on the pricing page. HDI reserves the right to change pricing with 30 days' advance notice to current subscribers. Price changes do not take effect until your next billing cycle after the notice period.

Payment processing

All payments are processed by Stripe. By subscribing you authorize Stripe to charge your payment method on a recurring monthly basis until you cancel. HDI does not store your credit-card number. Stripe's terms apply to payment processing: stripe.com/legal.

Free trials

Where a free trial is offered (currently available on the Researcher tier via Databricks Marketplace and Snowflake Marketplace), the trial period is 30 days. At trial end, access continues only if you start a paid subscription. We do not require a credit card to begin a marketplace trial.

Cancellation

You may cancel your subscription at any time from the Account Settings page in your portal, or by contacting us at info@health-data-insights.com. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months unless required by applicable law.

Failed payments

If a payment fails, we will retry per Stripe's dunning schedule. If payment is not collected within 7 days of the first failure, your subscription may be suspended and data access paused until the outstanding balance is resolved.

4. License and permitted use

Subject to these Terms and timely payment, HDI grants you a limited, non-exclusive, non-transferable license to:

  • Query and analyze Formulary Scanner data within your authorized cloud environment.
  • Build internal analytics, models, and applications on top of the data.
  • Incorporate derived insights and aggregated outputs into reports, products, or services you provide to your customers.

You may not:

  • Resell, sublicense, or redistribute the raw dataset or any substantial portion of it as a standalone data product.
  • Share access credentials or dataset listings with third parties outside your organization.
  • Reverse-engineer HDI's schema design, normalization logic, or proprietary processing for competitive purposes.
  • Use the data in any way that violates applicable law, including export controls or sanctions regulations.

5. Intellectual property

HDI retains all rights in the Formulary Scanner dataset, schema design, normalization logic, documentation, and all other materials we provide. These Terms do not transfer any ownership interest to you.

The underlying formulary data published by government agencies (CMS Medicare Part D files, state Medicaid PDLs) is public-domain government data. HDI's rights cover the compilation, normalization, enrichment, and delivery infrastructure — not the underlying raw government publications.

You retain all rights to your own data, models, and derived works that you create using Formulary Scanner as an input.

6. Acceptable use

You agree not to use HDI services to:

  • Violate any applicable law or regulation.
  • Transmit malicious code or interfere with the integrity of our systems.
  • Attempt to gain unauthorized access to HDI systems or other customers' data.
  • Scrape, crawl, or systematically extract data beyond what your subscription permits via normal API or marketplace access.
  • Harass, defame, or harm any individual or organization.

7. Uptime and data freshness

HDI targets the refresh cadences described on the data freshness page. These are operational targets, not guaranteed SLAs, except where explicitly stated in a signed Enterprise agreement. We will notify subscribers of known delays that exceed 2× the stated cadence.

We make commercially reasonable efforts to maintain portal availability but do not guarantee uninterrupted access. Planned maintenance windows will be announced at least 24 hours in advance when possible.

8. Disclaimer of warranties

HDI PROVIDES ALL SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HDI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Formulary data reflects information published by payers and government agencies. HDI processes and normalizes this data but cannot guarantee that it is complete, error-free, or current at any given moment. Do not use Formulary Scanner as the sole basis for individual patient coverage determinations or clinical decisions. Always verify coverage directly with the payer for patient-facing workflows.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HDI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO HDI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $500.

IN NO EVENT SHALL HDI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless HDI and its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the services in violation of these Terms; (b) your violation of any applicable law; or (c) any third-party claim related to content or data you submit to or through HDI services.

11. Termination

Either party may terminate these Terms at any time. You may do so by cancelling your subscription and deleting your account. We may do so by providing 30 days' written notice, or immediately if you materially breach these Terms.

On termination: your license to use Formulary Scanner ends, your portal access is revoked, and we will delete your account data within 30 days (subject to our data-retention obligations described in the Privacy Policy).

12. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration in Atlanta, Georgia under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. Class actions and class arbitrations are waived.

13. Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify registered users by email at least 14 days before the new Terms take effect. Continued use of the services after the effective date constitutes acceptance. If you do not agree to the revised Terms, you may cancel your subscription before they take effect.

14. General

  • Entire agreement. These Terms (and any applicable SOW or Enterprise agreement) constitute the entire agreement between you and HDI regarding the services and supersede any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
  • No waiver. Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
